Terms of Service

Welcome to Biznaire Ltd ("Biznaire", "we", "our", or "us"). These Terms of Service govern your access to and use of the Biznaire website, marketplace, transaction management tools, payment facilitation features, support channels, and related services.
By creating an account, listing an asset, placing a bid, making a payment, accepting a transaction, or otherwise using Biznaire, you agree to these Terms and to our related policies, including our Privacy Policy, Refund Policy, Cancellation Policy, Delivery Policy, Dispute Resolution Policy, Acceptable Use Policy, and Customer Support Policy.
1. About Biznaire
Biznaire is a Nigerian digital asset marketplace that helps users buy, sell, bid on, document, inspect, and complete transfers of approved digital assets. Eligible assets may include websites, domain names, SaaS products, mobile apps, source code, online businesses, digital products, gaming accounts, and other approved digital assets.
Biznaire provides transaction workflow tools, communication features, document collection, inspection-period tracking, dispute handling, and settlement support. Biznaire is not a bank, payment processor, financial institution, investment adviser, legal adviser, or owner of user-listed assets.
2. Eligibility and Account Responsibilities
To use Biznaire, you must be at least 18 years old, have legal capacity to enter into binding agreements, provide accurate information, comply with applicable laws, and complete identity or business verification when requested.
You are responsible for safeguarding your account credentials and for all activity carried out through your account. You must notify Biznaire immediately if you suspect unauthorized account access, fraud, security compromise, or misuse.
3. Listings and Asset Ownership
By listing an asset, you represent that you own the asset or have full legal authority to sell and transfer it. You must provide accurate descriptions, ownership information, delivery requirements, technical details, and any material risks or limitations connected with the asset.
Biznaire may reject, suspend, edit, hide, or remove listings that appear inaccurate, unlawful, high-risk, fraudulent, misleading, restricted, or inconsistent with our policies or payment provider requirements.
4. Prohibited and Restricted Activity
You must not use Biznaire for illegal, fraudulent, unauthorized, deceptive, restricted, sanctioned, or high-risk activity. Prohibited conduct includes selling assets you do not own, transferring hacked or stolen assets, impersonation, identity misuse, bid manipulation, money laundering, terrorist financing, sanctions evasion, card fraud, chargeback abuse, or any transaction that violates our Acceptable Use Policy.
Biznaire may request additional due diligence information from buyers or sellers and may delay, cancel, restrict, or report transactions where required for fraud prevention, compliance, dispute management, or legal reasons.
5. Payments and Third-Party Payment Providers
Payments on Biznaire may be processed by approved third-party payment providers, including Flutterwave or other providers made available on the platform. Payment providers may require verification, apply transaction rules, impose limits, review transactions, delay settlement, withhold settlement, reverse transactions, process refunds, or request additional information under their own agreements, rules, and applicable law.
Buyer payments may settle into Biznaire's payment-provider account or wallet before seller payout. Seller payout is initiated only after the transaction reaches the required completion stage, such as buyer confirmation, inspection-period expiry, admin release, or dispute resolution. Seller payout timing may also depend on payment provider settlement schedules, bank processing, compliance checks, transfer availability, and fraud review.
Biznaire does not store full card details. Card and payment information is handled by the relevant payment provider according to its own terms and privacy notices.
6. Fees
Biznaire may charge listing fees, marketplace subscription fees, transaction fees, service fees, payout fees, payment processing fees, or other disclosed charges. Fees will be displayed or communicated before they apply where reasonably possible.
Unless otherwise stated or required by law, platform fees and third-party processing fees may be non-refundable.
7. Digital Asset Delivery and Inspection
Buyers and sellers must follow the Delivery Policy and the transaction instructions displayed on Biznaire. Delivery may include domain transfer, source-code handover, website migration, account transition, documentation delivery, access credential rotation, or other asset-specific steps.
Marketplace transactions have a default inspection period of 3 (three) days after the seller marks the digital asset as delivered, unless a different period is shown on the transaction page. Biznaire may apply a shorter or longer inspection period depending on asset type, transaction value, delivery complexity, risk review, or agreement between the parties.
Where an inspection period applies, the buyer must review the asset within that period and either confirm completion or raise a dispute. If the buyer takes no action before the inspection period expires, the transaction may be completed and seller payout may be initiated according to the transaction rules.
8. Cancellations, Refunds, and Chargebacks
Cancellations and refunds are handled under our Cancellation Policy and Refund Policy. Refunds may depend on the transaction stage, seller delivery status, buyer inspection status, dispute outcome, payment provider rules, and whether seller payout has already been initiated.
You agree to cooperate with refund, fraud, and chargeback investigations. Buyers and sellers must provide evidence of payment, authorization, delivery, asset transfer, communication, and value received when requested. Biznaire may decide platform actions based on available evidence if a party fails to respond.
Chargebacks, payment reversals, penalties, provider fees, or losses caused by user fraud, misrepresentation, policy breaches, or failed delivery may be recovered from the responsible user where permitted by law and platform rules.
9. Disputes Between Buyers and Sellers
Biznaire may review evidence and facilitate dispute handling through the platform. Biznaire is not a court, arbitrator, legal representative, or financial institution. Payment providers are generally not responsible for resolving buyer-seller disputes unless the issue relates directly to payment processing or settlement.
Users must cooperate in good faith, submit accurate evidence, and respond promptly to requests. Fraud, false evidence, abusive conduct, or refusal to cooperate may result in account restriction, cancellation of a transaction, delayed payout, or reporting to relevant authorities.
10. Privacy and Security
Biznaire collects and processes personal, transaction, verification, and marketplace information according to our Privacy Policy. We use reasonable administrative, technical, and organizational safeguards to protect user information and payment-related data in our control.
You must not share passwords, one-time passcodes, private keys, recovery phrases, payment credentials, or sensitive access credentials outside secure transaction channels. Users are responsible for removing or rotating access credentials after asset transfer where applicable.
11. Suspension, Investigation, and Termination
Biznaire may suspend, restrict, or terminate an account, listing, transaction, payout, or platform access where we suspect fraud, unlawful conduct, payment abuse, security risk, policy violation, regulatory risk, or payment provider requirement.
Biznaire may retain transaction records, verification records, communications, and other evidence for compliance, fraud prevention, dispute handling, and legal purposes after account closure.
12. No Investment or Business Performance Guarantee
Biznaire does not guarantee the value, revenue, traffic, profitability, legality, marketability, future performance, or commercial success of any digital asset. Buyers are responsible for their own due diligence before purchasing.
13. Intellectual Property
Users retain ownership of their content and assets, subject to transaction agreements and completed transfers. By listing an asset, you grant Biznaire a limited right to display listing information, images, descriptions, and related materials for marketplace, transaction, support, and promotional purposes.
14. Limitation of Liability
To the fullest extent permitted by law, Biznaire is not liable for user misconduct, inaccurate listings, failed asset transfers, business losses, lost profits, payment provider delays, bank delays, chargebacks, reversals, technical interruptions, regulatory actions, or third-party service failures.
Where liability cannot be excluded, Biznaire's liability is limited to the fees paid to Biznaire in connection with the relevant transaction, unless applicable law requires otherwise.
15. Changes to These Terms
Biznaire may update these Terms or related policies at any time. Updates take effect when published on the platform. Continued use of Biznaire after publication means you accept the updated terms.
16. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Subject to any mandatory dispute procedure, disputes shall be submitted to competent courts or other lawful dispute resolution forums in Nigeria.
